Incorporating the GBA

Founded in 2005, the Geocachers of the Bay Area has always been a very informal group. It has a website (this one), a logo, and ... well, in a legal sense ... didn't exist at all.

That's changing.

As now, "Geocachers of the Bay Area" is an official California corporation with a Tax ID number and such. We will soon apply to the IRS and the State for non-profit 501(c)3 status. The GBA is organized "for public and charitable purposes", and will "promote education, environmental stewardship and enjoyment of the outdoors through the sport of geocaching".

When (and if) our non-profit status is approved (maybe by Christmas) we will be able to accept donations, raise money, etc. Until then the Corporation is very limited as to what it can do; we'll focus on getting things set up so when the nonprofit status comes in we can get going with the group's core mission very quickly. But I anticipate that the Corporation will neither accept nor spend any money until then.

A meeting was held last week to get the corporation started. Here's how bootstrapping a corporation starts. One person files Articles of Incorporation with the State. (In this case that was me.) The Articles define the Corporation's name and mission (in a very high level way - just one sentence). Once approved by the State, an Organizing Meeting is held. The Incorporator (that's me) adopts a set of Bylaws and appoints an initial Board. At that point the Incorporator's magical powers vanish, and the Board is in control. The Board then votes for officers - President, Secretary, Treasurer. At this point the Corporation is up and running. So last week we went through this process and got the Corporation started. Next step: applying for non-profit status.

Officers:

- President: Sarah Gitter
- Treasurer: Mike Wanzong
- Secretary: Sam Drake

There is interest in holding a "mega" event in the Bay Area, which the GBA would sponsor. That will mean renting facilities, making deposits, signing contracts, etc. It will be much easier for a non-profit corporation to do that than to have an individual do it.

So while the Corporation exists and has a structure, it hasn't begun to do anything just yet, and will take a few more months before it can. If you have any questions, please post them here - and if you're interested in helping out contact Sarah!

Let us know when you get the status so we can donate to it. Do you/we have a bank account yet?

No, and we probably won't until the nonprofit status is approved. While donations accepted before then will be tax deductible back to the date of incorporation, that only happens IF the status is approved. So it seems simpler and safer for everyone just not to have a bank account or accept donations until then.

We'll certainly keep everyone up to date on what's going on. I would expect the Board to make minutes and such public.
